Programme Objective

  • Financial Due Diligence (FDD) for M&A is an introduction of the role FDD plays in a transaction.
  • Whether managing or advising a M&A for your company or assisting your clients on financial matters, you will gain practical knowledge that would help you succeed in an FDD; navigating potential financial pitfalls of a transaction.

Programme Outline

 

  1. An overview of the M&A process including the role of due diligence from both the buyer and seller perspective;
  2. Financial due diligence and its differences with agreed upon procedures;
  3. Scope of an FDD (Understanding of business, Quality of earnings, Normative working capital and Net debt);
  4. Conducting an FDD (Data collection, Analysis, Q&A, Report);
  5. Understanding the issues from a FDD findings and how their implications on price, SPA negotiation, and post-merger integration.


Pre-requisite: Participants without foundation knowledge on M&A are strongly encouraged to go through the e-learning module (BF003i: Mergers and Acquisitions (1.5 CPE Hour))
