Programme Objective

To provide an overview of various fundraising options available for a corporation to support its business activities and strategic growth plans. This course will:

  • analyse the respective considerations for the various capital raising processes
  • examine the sourcing of appropriate capital providers
  • discuss application of proceeds raised to enhance stakeholders’ value

Case studies and examples will be used for illustration during the session.

Programme Outline

  1. Sources of capital
    1. Objectives of capital providers
    1. Factors affecting Risk and Reward assessment of deploying capital which include:
  • Credit worthiness of borrower / issuer
  • Growth prospects of borrower / issuer
  • Time horizon
  • Expected returns (i.e. pricing / hurdle rate)
  • Valuation / Percentage of stake-ownership
  • Alternative uses of capital
  1. Uses of capital
    1. Application of proceeds
    1. Considerations for raising capital which include:
  •  Capital structure
  •  Timing required and costs to raise funds
  •  Cost of funds
  •  Debt servicing capabilities / restrictions / restrictive debt covenants
  •  Cash flow timing vs debt maturity profile
  •  Dilution / new shareholders
  •  Board seats / management control / accountability to capital provider(s)
  •  Business continuity / changes
  •  Control of assets
  1. Types of funding, structures, timelines and considerations
    1. Bank debt
    2. Bond issuance
    3. Green / sustainable financing
    4. Hybrid (e.g. convertible bonds / exchangeable bonds / warrants / preference shares / perpetual securities)
    5. Equity fundraising (eg. pre IPO / IPO / share placement / rights issue)
    6. M&A / divestments

    1. Alternative financing (e.g. crowdfunding / initial coin offering)

Pre-requisites

Please take note of the following admission requirements:

  • Trainings will be conducted on Zoom platform, thus video camera and microphone are compulsory
  • Mandatory for video camera to be turned on throughout the course
  • Display your official name (as per NRIC) in Zoom, to facilitate attendance taking

All Singaporeans aged 25 and above will receive an opening credit of S$500 from the government. You may wish to use your SFC to pay for partial/full ISCA course fees. 

On 1 Oct 2020, the Government provided a one-off SkillsFuture Credit Top-up of $500 for all eligible Singaporeans aged 25 or above by 31 Dec 2020. Singaporeans aged 40 to 60 by 31 Dec 2020 will also receive an Additional SkillsFuture Credit (Mid-Career Support) of $500 which can be used for courses under: (i) SGUnited Skills Programme, (ii) SGUnited Mid-Career Pathways Programme – Company Training, and (iii) Career Transition Programmes.
