Programme Objective
To inform participants on the internal relationship between the employer and its procurement and other related staff. 

 

Programme Outline

  • Ethics and Corporate Governance: An Overview

  • Ethical procurement principles – Singapore Government and the United Nations

  • Overlap between Law and Ehics -- The Law of Equity and Ethics; Ethics and statute law.

  • Duties of Directors and Staff – Fidelity (for both groups), Fiduciary (for directors and officers), remedies for breaches. Responses to Fraud – dismissal, reporting to authorities (to report or not),  problems in suing controlling directors.

  • Corruption – Prevention of Corruption Act (corrupt acts, inducement, extra-territorial corruption, employer remedies for corruption. Corruption and underlying contracts. Recent private and public sector corruption cases (Ng Boon Gay, Peter Lim and seafood ordering cases)

  • Dishonesty – common criminal offences and related matters – cheating, theft, forgery, criminal breach of trust, common intention, abetment, conspiracy, sentencing. Defenses to criminal prosecution. Directors’ responsibility for staff or outsider dishonesty.

  • Securities offences including insider trading and market manipulation. The Securities and Futures Act.

  • Whistleblower protection – Singapore and other countries’ laws compared

Lecture style, with a case study for discussion

An Intermediate level programme intended for CFOs, Internal Auditors, Finance Managers, Risk Managers and Department Supervisors who are involved in procurements or handling commercial contracts. An Advocate and Solicitor for over 20 years, Terence has provided legal training and education for many professional organizations, overseas universities and MNCs. 


Terence was named in Parliament for his comments on the revamped Bankrupt Act and these comments were expressly mentioned by the Court of Appeal.

Terence was formerly Asst Professor in the Law Faculty, National University of Singapore where he taught Insolvency Law, Company Law and Computer Law.

He is recognized by the Council for Estate Agents (CEA) on a wide variety of issues and topics such as Landlord-Tenant Disputes and Family Property Disputes.
