DAY 1: CHARITY GOVERNANCE – UNDERSTANDING MY ROLES & RESPONSIBILITIES (MR SOVANN GIANG)

Training Objective

  • Through relevant cases, class discussion and role play, to enhance:

(a) the understanding of laws, regulations and guidelines;
(b) the respective roles and responsibilities of various stakeholders including the Board, committees, management, staff, and volunteers

Training Outline

  • Overview of the regulations and Code of Governance for Charities and IPCs
  • Key points within the Charities Act, Regulations, and the Code of Governance for Charities and IPCs (Code)
  • Impact and repercussions of non-compliance at organizational and individual level
  • Importance of compliance and governance
  • Common challenges encountered by the charities in complying with the regulations.
  • Different roles and responsibilities for different stakeholders in a charity with regards to governance, with emphasis for managers
  • Best practices in maintaining good governance


DAY 2: PREVENTIVE CONTRACT LAW – MISTALES TO AVOID IN MAKING CONTRACTS (MR TERENCE TAN)

Training Objective

  • Familiarize participants with common contract law problems
  • Teach them how to avoid such problems
  • Alert them to situations where professional legal expertise may be needed
  • Inform participants how improve their legal position if there is litigation
     

Training Outline

  • Contract Formation
    • Assessing counter-party risk and Safeguards against non-performance by other party
    • Contract requirements: offer, acceptance, consideration, intention to create legal relations
    • Varying existing contracts and need for consideration
    • Signing Memoranda of Understanding
    • Law relating to confidentiality
  • Contract Terms
    • Differences between conditions and warranties
    • Termination for breach of condition
    • Implied terms – terms put in by the court
    • Exemption clauses to avoid liability and their validity
  • Contract termination and invalidity – common situations
    • Authority of contract signatories
    • Misrepresentation
    • Force majeure, frustrations and pandemics
  • Contract remedies
    • Claims for price and for damages for non-performance
  • Alternatives to lawsuits – advantages and disadvantages
    • Mediation and Arbitration
    • Settling cases out of court – settlement agreements
