The purpose of corporate governance is to create long-term value for shareholders and/or stakeholders. This requires boards to focus on both performance/value creation, and conformance/compliance.  This workshop focuses on the board’s conformance/compliance role.

The workshop also covers corporate governance structures and practices that can support the board’s conformance/compliance role. It then discusses common non-compliance with the letter or spirit of rules that may create reputational and regulatory risks for companies and directors.

Specially curated case studies based on actual companies are used to discuss common non-compliance and what boards should have done differently.

Workshop Objectives:

  • Understand the role of the board in compliance and how to discharge it effectively
  • Be aware of key corporate governance rules and requirements requiring compliance
  • Be able to propose corporate governance structures and practices that support compliance
  • Be aware of common breaches and how to mitigate risks of such breaches

  • Brief Overview of Roles and Responsibilities of the Board, and the Board’s Conformance/Compliance Role
  • Brief Review of Key Sources of Corporate Governance Rules and Major Requirements Companies and Directors Should Be Aware Of
  • Corporate governance structures and practices supporting compliance
  • Common Breaches by Companies and Directors
  • Enhancing the Board’s Compliance Role in Areas Such As :
    • Compliance with the letter and spirit of the principles and provisions in the Code of Corporate Governance, listing rules and other major regulatory requirements
    • Ensuring integrity of financial and non-financial information
    • Disclosure of material information
    • Insider trading
    • Compliance with disclosure and shareholder approval requirements for interested person transactions and significant corporate actions
    • Conflicts of interest
    • Bribery, corruption and money laundering risks
  • Small group discussion of case studies
