This workshop discusses the challenges of governance in company groups from both the corporate and director perspectives, and from the parent and group entity perspectives. The workshop will cover what can go wrong in company groups, current practices and good governance practices. It also discusses the risks of directors in boards of group entities with multiple roles and how directors can manage these risks.

Workshop Objectives:

  • Understand duties of directors of parent and group entities
  • Understand the risks and challenges in governance of company groups from both the corporate and director perspective
  • Understand different mechanisms that parent companies can use to govern group entities and the considerations in evaluating what mechanisms are appropriate for different group entities
  • Understand risks of directors of group entities wearing multiple hats and what to do to manage conflicts

  • Director duties – parent and group entities
  • Risks and challenges in governance of company groups
  • The corporate perspective – why it matters, balancing control and autonomy, things that can go wrong, current practices and a framework for evaluating appropriate governance mechanisms for group entities
  • The director perspective – conflicts from multiple roles, nominee directors and interlocking directors
  • Specially curated case studies and examples based on actual companies are used to discuss good and poor practices and challenges


Training Methodology

Lecture style, with practical illustrations and discussions involving case studies.
