The purpose of corporate governance is to create long-term value for shareholders and/or stakeholders. This requires boards to focus on both performance/value creation, and conformance/compliance.  This workshop focuses on the board’s value creation role. This workshop will also cover corporate governance structures and practices that can support the board’s value creation role. It then discusses decisions that boards commonly have to make that can impact value positively or negatively.

Specially curated case studies based on actual companies are used to discuss board decision-making in various areas that are relevant for value creation.

Workshop Objectives:

  • Understand the role of the board in value creation and how to discharge it effectively
  • Be able to propose corporate governance structures and practices that support value creation
  • Be able to objectively evaluate different decisions that are relevant to value creation and make informed decisions

Programme Outline

  • Brief overview of the roles and responsibilities of the board of directors, and the board’s performance/value creation role
  • Key corporate governance structures and practices that support value creation
  • The board’s value creation role in specific contexts, such as those relating to business strategies, diversification, M&As, spinoffs, disruption, and sustainability opportunities, and factors that affect likelihood of success or failure
  • Small group discussion of case studies

Lecture style, with practical illustrations and discussions involving case studies.
