Programme Objective

The Companies (Amendment) Bill was passed on 8 October 2014, and the amendments to the Singapore Companies Act came into force in two phases. 
 
 
(a)The first phase of amendments took effect on 1 July 2015; and
(b)The second phase of amendments took effect on 3 January 2016 (save for certain provisions).
 
This seminar will provide a general background understanding as to how the changes will affect CEOs, CFOs, accountants, auditors and managers. It will also highlight certain amendments affecting key categories of corporate transactions and the potential issues faced by stakeholders in practice. 

Programme Outline

Based on the recommendations of the Steering Committee for the Reform of the Companies Act, the amendments to the Singapore Companies Act are the culmination of a major law reform process carried out over several years. This seminar aims to discuss significant and practical changes to the Companies Act across the spectrum of company law including, for example, in the following areas: 
  • Directors 
  • Shareholders rights and meetings 
  • Shares, capital maintenance 
  • Amalgamation
  • Account and audits 
  • General company administration

David is a Corporate Partner of the firm Donaldson and Burkinshaw LLP, and practices in the area of corporate and commercial law, with a special focus on M&A (mergers and acquisitions).  With his depth of experience in corporate transactions, his clients include MNCs, financial institutions (including trust companies and fund management companies), local SMEs, listed companies and REITs and public regulatory bodies. 
 
David graduated with an LL.B. from the National University of Singapore in 2002, and was admitted as an Advocate and Solicitor of the Supreme Court of Singapore in July 2003. He was also admitted as a Solicitor of England and Wales in 2005.
 
He speaks English, Mandarin and Bahasa Malaysia.
