Programme Objective

To discuss the purpose of due diligence, explain the typical due diligence process, various scope of due diligence and examine how due diligence drives negotiations and deal structure with the use of case studies and examples for illustration.

Programme Outline

 

  1. What is due diligence
  2. Purpose of due diligence
  3. Parties to be involved in due diligence
  4. Data room preparation
  • Explain purpose of data room
  • Highlight important components of data room (eg. index, procedures, security measures, monitoring data room attendees)
  • Seller's concerns vs buyer's concerns
  • Physical data room vs virtual data room (comparison, advantages / disadvantages)

 
5. Scope of due diligence processes

  • Elaborate on various types of due diligence (eg. business / operational, financial / accounting / tax, legal, people / organisation, environmental, IT) and key focus areas

 
6. Outline of due diligence report
 
7. Application of due diligence findings

  • How to deal with concerns arising from due diligence findings (eg. negotiate deal structure, valuation, representations & warranties, walk away)
  • Case studies include: Dubai Drydocks World - Labroy (specific indemnification); KKR - Goodpack (specific conditions to be met in relation to takeover offer); Southern Capital - UE E&C (due-diligence pre-conditions)

Kelvin Song
Kelvin is currently the Head of Corporate Finance & Development of a privately-owned Asian enterprise in the integrated industrial supply chain sector, where he works closely with key stakeholders in the evaluation, structuring and execution of strategic mergers and acquisitions, divestments as well as financing transactions.

With over 15 years of experience in various roles with corporates, investment banking and accounting firms, he has led or been involved in corporate finance and corporate restructuring activities across a wide spectrum of industries in public and private markets.

Kelvin holds a Bachelor of Accountancy (Honours) from Nanyang Technological University. He is also a Chartered Accountant of Singapore (CA Singapore), Chartered Financial Analyst (CFA) and Chartered Valuer and Appraiser (CVA).
